Version 2.2. Effective on the date of installation.
This End User Licence Agreement ("Agreement") is a legal agreement between you, either an individual or a single entity ("you" or "Licensee"), and Chris Wiltshire, trading as Archanon ("Archanon", "we", "us" or "Licensor"), for the ViewTwo by Archanon software, including the installer, executable files, and any associated media, documentation and updates (the "Software"). By installing, copying or otherwise using the Software you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
"Seat" means one individual named user permitted to use the Software under a Licence. "Licence" means the right to use the Software, granted either free of charge during the Trial Period described in clause 4, or thereafter under a Subscription or a One-off Licence as described in clause 3, activated via a licence key and limited to the number of Seats it covers. "Trial Period" means the free thirty (30) day period described in clause 4. "Subscription" means a paid, renewable Licence for the number of Seats purchased, billed in advance either monthly or annually, as chosen at purchase. "One-off Licence" means a paid, perpetual, non-renewing Licence covering one Seat, formerly sold for a single one-time fee and no longer offered, which includes updates to the Software for twelve (12) months from the date of purchase, as described in clause 3.
Archanon grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your internal business or personal purposes, subject to a valid Licence issued by Archanon and limited to the number of Seats it covers. During the Trial Period described in clause 4, the Software may be used free of charge, without a Licence. After the Trial Period ends, continued use of any part of the Software requires a Subscription, or a One-off Licence purchased before One-off Licences were withdrawn, as described in clause 3.
During the Trial Period described in clause 4, the Software is free of charge and no Licence is required. After the Trial Period, the Software requires a Subscription, priced per Seat: £4.99 per Seat per month, billed monthly in advance, or £49.99 per Seat per year, billed annually in advance. Any number of Seats from one (1) to one hundred (100) may be purchased together under a single Subscription and licence key; above one hundred Seats, licensing is by separate written quotation. Seats may be added to or removed from a Subscription during its term; any resulting charge or credit is calculated and applied by Archanon's payment provider as shown to you at the time of the change. A Subscription purchased under an earlier version of this Agreement at the former Individual, Team (small) or Team (medium) tiers continues, for the Seats it covers, on the terms and at the price under which it was purchased until it is cancelled; it may be cancelled at any time and replaced by a Subscription at the prices above. One-off Licences are no longer offered. A One-off Licence purchased before they were withdrawn continues on the terms under which it was sold: it covers one Seat and is perpetual, non-expiring and non-renewing, and it includes updates to the Software – bug fixes, security patches, feature updates and operating-system compatibility updates alike – for twelve (12) months from the date of purchase. After that twelve-month period, no further updates of any kind are included, and a Subscription is required to receive them; you may continue using, indefinitely, whichever version of the Software you held at the end of that twelve-month period. Prices and Seat limits may change before or during any Subscription term, or before any future purchase; the price applicable to you is the price presented at the point of purchase or renewal.
Archanon provides a free Trial Period of thirty (30) days from first installation, during which the Software may be used in full, without a Licence. At the end of the Trial Period, continued use of the Software requires a valid Licence (a Subscription, or a One-off Licence purchased before One-off Licences were withdrawn) as described in clause 3. Your existing pinned folders, local configuration, and any files, copies or logs you have already created using the Software are unaffected by expiry of the Trial Period and remain intact regardless of whether you take up a Licence.
You must not, except to the extent permitted by law: (a) copy, distribute, resell, rent, lease, sublicense or otherwise make the Software available to any third party outside your licensed Seats; (b) reverse engineer, decompile or disassemble the Software, save to the limited extent such activity cannot lawfully be excluded; (c) circumvent, disable or tamper with any licensing, trial-expiry or security mechanism; or (d) remove or alter any proprietary notices in the Software.
The Software is licensed, not sold. Archanon and its licensors retain all right, title and interest in and to the Software, including all intellectual property rights. Your pinned folders, files, project data and any content you create using the Software remain yours; the Software does not claim any ownership over them.
Subscriptions are billed in advance, monthly or annually according to the billing period chosen at purchase, and, unless you cancel, renew automatically at the end of each billing period at the then-current price. A One-off Licence was billed once and is never renewed or charged again. Prices shown exclude any VAT, sales tax or other applicable transaction tax; where due, this is calculated and added at checkout by Archanon's payment provider based on your billing location, and is included in the total you are charged. You may cancel a Subscription at any time to prevent future renewals; cancellation takes effect at the end of the current paid billing period. A One-off Licence cannot be cancelled once purchased, as no further fee is ever charged. Except where required by law, fees already paid are non-refundable.
This Agreement applies from first installation and continues until terminated. It terminates automatically on expiry of the Trial Period if no Licence has been taken out, or, for a Subscription, at the end of a paid billing period without renewal. A One-off Licence, once purchased, does not expire, and this Agreement continues to apply to your use under it unless terminated earlier under this clause. Archanon may terminate this Agreement if you materially breach it. On termination you must stop using the Software; you may uninstall it at any time. Clauses which by their nature should survive termination (including clauses 5, 6, 9, 10 and 11) shall survive.
To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement. Archanon does not warrant that the Software will be uninterrupted, error-free, or compatible with any particular hardware or software configuration. The Software is designed and tested for Windows 11. Archanon does not warrant that the Software is, or will remain, compatible with any other operating system or with any future version of Windows, and is not responsible for the Software ceasing to work correctly as a result of an operating system update or upgrade outside Archanon's control. Where Archanon does release a compatibility update for a future Windows version, this is provided as a Software update to holders of an active Subscription, and to holders of a One-off Licence within the twelve-month update period described in clause 3, but not to users on a Trial Period or otherwise. Nothing in this Agreement affects your non-excludable statutory rights as a consumer.
Nothing in this Agreement excludes or limits Archanon's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law. Subject to that, Archanon shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with the Software; and Archanon's total aggregate liability arising out of or in connection with this Agreement shall not exceed the greater of (a) the total fees you paid for the Software in the twelve (12) months preceding the event giving rise to the liability, or (b) £50.
The Software runs locally on your device. Purchases are handled on Archanon's behalf by Paddle (Paddle.com Market Limited, a company registered in England and Wales, company number 8172165, of 30 Old Bailey, London EC4M 7AU, or the applicable regional Paddle entity for buyers outside the UK/EU), acting as merchant of record for the transaction. Licence issuance and licence validation are handled by Keygen. Paddle is responsible for calculating, collecting and remitting any VAT, sales tax or equivalent transaction tax due on your purchase. To validate your licence or Trial, the Software may transmit your licence key and related information to Archanon or to Keygen, and receive licence-status information in return. Archanon does not sell your personal data. Any processing of personal data is carried out in accordance with applicable data protection law, including the UK GDPR, and Paddle processes payment and billing data under its own privacy policy as an independent controller for that purpose. Archanon may update this Agreement for future versions of the Software or future Subscription terms. The version presented at the point of purchase or renewal, or included with the version of the Software you install, is the version that applies to that Subscription term or One-off Licence purchase.
This Agreement and any dispute or claim arising out of or in connection with it are governed by the law of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, save that if you are a consumer you may also be entitled to bring proceedings in your own country of residence.
