Version 1.6. Effective on the date of installation.
This End User Licence Agreement ("Agreement") is a legal agreement between you, either an individual or a single entity ("you" or "Licensee"), and Chris Wiltshire, trading as Archanon ("Archanon", "we", "us" or "Licensor"), for the ViewTwo by Archanon software, including the installer, executable files, and any associated media, documentation and updates (the "Software"). By installing, copying or otherwise using the Software you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
"Seat" means one individual named user permitted to use Re-Name, Re-View and ViewTwo Drop under a Licence. "Licence" means the right, free or paid, to use Re-Name, Re-View and ViewTwo Drop for the number of Seats issued, activated via a licence key. "Subscription" means a paid, time-limited, renewable Licence for the number of Seats purchased. "Introductory Period" means the free period described in clause 4. "Always-Free Features" means the folder and file pinning functions (including the pinned folder tree), New Project, and Save Email Attachments, which are not part of the Licence and are never chargeable.
Archanon grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use Re-Name, Re-View and ViewTwo Drop for your internal business or personal purposes, subject to a valid Licence issued by Archanon and limited to the number of Seats it covers. During the Introductory Period described in clause 4, this Licence is issued and used free of charge. After the Introductory Period ends, continued use of Re-Name, Re-View and ViewTwo Drop requires a paid Subscription as described in clause 3. The Always-Free Features are provided free of charge to all users of the Software at all times, with no Seat limit and regardless of Licence or Subscription status.
During the Introductory Period described in clause 4, Re-Name, Re-View and ViewTwo Drop are free of charge and no Subscription is required. The tiers below are the prices that will apply to a paid Subscription once the Introductory Period ends: Individual – £29 per user per year (or £3 per user per month), one Seat; Team (small) – £49.99 per year for up to five (5) Seats; Team (medium) – £99.99 per year for up to fifteen (15) Seats. Above fifteen Seats, licensing is per Seat at the Individual rate or by separate written quotation. Tiers, prices and Seat limits may change before or during any Subscription term; the price applicable to you is the price presented at the point of purchase or renewal. The Always-Free Features remain free of charge at all times, as described in clauses 1 and 2.
Archanon is currently making Re-Name, Re-View and ViewTwo Drop available free of charge under a free Licence, with no Seat limit and no fixed end date ("Introductory Period"). Archanon may end the Introductory Period at any time by giving at least thirty (30) days' notice, provided within the Software and/or to your registered contact details. Following that notice period, continued use of Re-Name, Re-View and ViewTwo Drop will require a paid Subscription at the tiers set out in clause 3. Your existing pinned folders, local configuration, and any files, copies or logs you have already created using the Software are unaffected by the end of the Introductory Period and remain intact regardless of whether you take up a paid Subscription. The Always-Free Features are unaffected by the Introductory Period and remain free of charge at all times, as described in clause 2.
You must not, except to the extent permitted by law: (a) copy, distribute, resell, rent, lease, sublicense or otherwise make the Software available to any third party outside your licensed Seats; (b) reverse engineer, decompile or disassemble the Software, save to the limited extent such activity cannot lawfully be excluded; (c) circumvent, disable or tamper with any licensing, trial-expiry or security mechanism; or (d) remove or alter any proprietary notices in the Software.
The Software is licensed, not sold. Archanon and its licensors retain all right, title and interest in and to the Software, including all intellectual property rights. Your pinned folders, files, project data and any content you create using the Software remain yours; the Software does not claim any ownership over them.
Paid Subscriptions are billed in advance on a recurring basis and, unless you cancel, renew automatically at the end of each term at the then-current price. Prices shown exclude any VAT, sales tax or other applicable transaction tax; where due, this is calculated and added at checkout by Archanon's payment provider based on your billing location, and is included in the total you are charged. You may cancel at any time to prevent future renewals; cancellation takes effect at the end of the current paid term. Except where required by law, fees already paid are non-refundable.
This Agreement applies from first installation and continues until terminated. It terminates automatically on expiry of your Trial Period or Subscription without renewal, and may be terminated by Archanon if you materially breach it. On termination you must stop using the Software; you may uninstall it at any time. Clauses which by their nature should survive termination (including clauses 5, 6, 9, 10 and 11) shall survive.
To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement. Archanon does not warrant that the Software will be uninterrupted, error-free, or compatible with any particular hardware or software configuration. Nothing in this Agreement affects your non-excludable statutory rights as a consumer.
Nothing in this Agreement excludes or limits Archanon's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law. Subject to that, Archanon shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with the Software; and Archanon's total aggregate liability arising out of or in connection with this Agreement shall not exceed the greater of (a) the total fees you paid for the Software in the twelve (12) months preceding the event giving rise to the liability, or (b) £50.
The Software runs locally on your device. Purchases, licence issuance and licence validation are handled on Archanon's behalf by Lemon Squeezy (a trading name of Lemon Squeezy, Inc. or its applicable Stripe affiliate), acting as merchant of record for the transaction and as Archanon's payment and licensing provider. Lemon Squeezy is responsible for calculating, collecting and remitting any VAT, sales tax or equivalent transaction tax due on your purchase. To validate your licence or Trial, the Software may transmit your licence key and related information to Archanon or to Lemon Squeezy, and receive licence-status information in return. Archanon does not sell your personal data. Any processing of personal data is carried out in accordance with applicable data protection law, including the UK GDPR, and Lemon Squeezy processes payment and billing data under its own privacy policy as an independent controller for that purpose. Archanon may update this Agreement for future versions of the Software or future Subscription terms. The version presented at the point of purchase or renewal, or included with the version of the Software you install, is the version that applies to that Subscription term.
This Agreement and any dispute or claim arising out of or in connection with it are governed by the law of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, save that if you are a consumer you may also be entitled to bring proceedings in your own country of residence.

By installing or using ViewTwo by Archanon you acknowledge that you have read this Agreement, understand it, and agree to be bound by it.
